Healthy cap-table guidelines

  • Pre-seed: founders own 70–90%, ESOP pool 10–15%, angel/advisor ~5%.
  • Post-Series A: founders 50–65%, lead investor 15–25%, ESOP refreshed to 10–15%.
  • Post-Series B/C: founder ownership typically drops to 25–40%.
  • Investors look for clean cap tables — too many small shareholders (under 0.5%) creates friction in future rounds.
